Distributor Agreement

TERMS

The Distributor is not permitted to sell to end users, with one exception. That is, where the end user is a large institutional customer who has their own in-house personnel capable of installing and supporting the product on their own and where the customer is recognized in the industry as not purchasing product through the Dealer channel.
The Distributor will provide first-level technical support to their customers.
The Distributor will buy at 55% off MSRP for Cansec-made products.
The Distributor agrees to achieve sales in excess of $24,000 in each calendar year of the first two years and in excess of $50,000 in each year thereafter. Should the specified sales target not be achieved, the discount level may be adjusted with Cansec providing 30 days’ notice.
Credit limits are subject to yearly review.
The Distributor agrees to place an initial stocking order of $10,000 and must maintain sufficient stock at all times.
Subsequent orders will be a minimum of $500 each.
Products can be returned within 3 months of purchase subject to a restocking fee of 20% (unopened and in original condition). Products returned after 3 months but no later than 6 months will be subject to a 30% restocking fee (unopened and in original condition). Products ordered 6 or more months earlier cannot be returned.
Custom ordered products such as encoded cards, fobs, etc. cannot be returned unless Cansec supplied product that is not what was ordered.
A credit will be applied to The Distributor’s account, less the applicable restocking fee, for returned product.
It is the responsibility of The Distributor to ensure that any product returned is accompanied by the proper completed RMA form found on the Cansec website.
Products available for sale to The Distributor are limited to those found in the current Cansec Price Book.
This agreement is valid to December 31 of the year in which it is signed. Renewal is subject to review by Cansec. The minimum annual sales target will be prorated based on the sign-up date.
Either party may terminate this agreement by giving 30-days’ written notice.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, each party will indemnify, defend and hold harmless the other and the other’s agents and employees from and against any and all third-party claims, damages, demands, actions, judgments, liabilities, penalties, citations, injuries, losses and expenses, including but not limited to attorneys’ fees and court costs arising out of or related to its negligence in performing as a result of this agreement.
In no event will Cansec Systems Ltd. be liable for incidental, consequential, indirect, special or punitive damages including, but not limited to, loss of use of Distributors’ products and services, loss of profits, loss of revenue, interest, lost goodwill, work stoppage, impairment of other goods, loss by reason of shutdown or non-operation, increased expenses of operation or claims of business partner’s customers or suppliers, whether based on contract, warranty, tort (including, but not limited to, strict liability or negligence) or otherwise, even if advised of the possibility of such damages.
